Acceptance of Terms
These Terms of Service (“Terms”) are a binding agreement between you and Feeds Inc., a Delaware corporation (“Feeds,” “we,” “us,” or “our”), and govern your access to and use of the Feeds application, website, and related services (collectively, the “Service”). Feeds Inc. is the sole provider of the Service and the sole counterparty to these Terms. References elsewhere to any predecessor or affiliated entity are for historical or corporate identification purposes only and do not create a separate agreement.
Definitions
For purposes of these Terms:
- “Service” means the Feeds application, website, platform, and all related services, features, feeds, personalization systems, notifications, reminders, integrations, and content made available by Feeds.
- “Feeds” means Feeds Inc., a Delaware corporation, and its affiliates.
- “Third-Party Content” means any content, information, media, images, logos, text, links, event information, release dates, or other materials owned or controlled by third parties and displayed through the Service.
- “Third-Party Services” means any third-party websites, platforms, applications, integrations, or services that may be accessible through the Service.
- “User Content” means any content, data, preferences, selections, feeds, playlists, reactions, or other materials created, submitted, or configured by users through the Service.
- “Beta Features” means any features, tools, or functionality offered in beta, testing, experimental, or early access versions of the Service.
- “User” means any person or entity that accesses or uses the Service.
Description of Services
Feeds provides a platform that aggregates, organizes, and displays information, updates, releases, events, media, and content from third-party sources related to entertainment, sports, video games, digital creators, and other topics, without limitation, based on user-selected interests, preferences, and interactions.
The Service collects and displays publicly available information and content from third-party sources and presents such information in personalized feeds based on user preferences, selections, activity, and interactions within the Service.
Feeds may use algorithms, automated systems, artificial intelligence, and personalization tools to organize, prioritize, recommend, and display content to users. Feeds does not guarantee that any content, information, recommendations, or feeds will be complete, accurate, or up to date.
Feeds does not host or store most Third-Party Content and does not create, own, or control most of the content displayed through the Service. Such content may include, without limitation, images, logos, text, event information, release dates, links, media, and other materials owned or controlled by third parties. Certain Third-Party Content may be cached, formatted, or displayed within the Service for performance, usability, or presentation purposes. All Third-Party Content remains the property of its respective owners.
The Service may include links or integrations to third-party websites, platforms, or services. Feeds is not responsible for the availability, accuracy, content, products, services, or practices of any third-party websites or services.
Feeds may modify, update, suspend, or discontinue any part of the Service at any time, including features, content, personalization systems, or integrations, with or without notice.
Feeds acts solely as a technology platform that aggregates and organizes information from third-party sources and does not act as a publisher, broadcaster, or content provider.
Eligibility
To use the Service, you must be at least thirteen (13) years old. The Service is not intended for children under 13, and we do not knowingly permit children under 13 to use the Service.
If you are under eighteen (18) years old, or the age of majority in your jurisdiction, you may use the Service only if your parent or legal guardian has reviewed and agreed to these Terms on your behalf and has given you permission to use the Service. If you are a parent or legal guardian who permits a minor to use the Service, you agree to be bound by these Terms on the minor’s behalf and are responsible for the minor’s use of the Service, including any activity that occurs under the minor’s account.
By using the Service, you represent and warrant that:
- you meet the eligibility requirements described in these Terms, including, if you are under the age of majority, that you have obtained the parental or legal guardian permission described above;
- you will comply with all applicable laws and regulations;
- you will not use the Service for any unlawful or unauthorized purpose.
If you are using the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and in such case, “you” will refer to both you and that entity.
Feeds may suspend or terminate access to the Service if we believe that a user does not meet the eligibility requirements.
Account and Registration
To access certain features of the Service, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to keep such information updated.
Feeds may use third-party identity and access management providers, authentication platforms, and single sign-on services (such as Apple, Google, or similar providers) to facilitate user authentication and account access. By registering or logging in through such services, you authorize Feeds to receive certain account information or authentication tokens from those providers in accordance with their authentication processes.
You are not required to use your real name as your account handle, but you may not impersonate another person or entity or misrepresent your identity.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Feeds immediately of any unauthorized use of your account or any other security breach.
Feeds reserves the right to suspend, restrict, or terminate your account at any time if we believe that:
- you have violated these Terms;
- your account is being used in an unauthorized or fraudulent manner;
- your use of the Service creates risk or potential legal exposure for Feeds;
- it is necessary to protect the integrity, security, or operation of the Service.
You may delete your account at any time through the application settings or by contacting us through our contact form. Upon termination or deletion of your account, certain information may be retained as required by law or for legitimate business purposes.
Handles
The Service allows you to select a unique handle. Handles are licensed to you for use within the Service on a revocable, non-exclusive, non-transferable basis. A handle is not property, confers no ownership right, and is not sold to you.
You may not select, use, or attempt to obtain a handle that:
- impersonates, or is likely to cause confusion as to affiliation with, any person, team, brand, or organisation;
- infringes any trademark or other right of a third party;
- is obtained through automated means, in bulk, or through multiple accounts;
- is registered primarily for the purpose of resale, transfer, or extracting value from a third party;
- is unlawful, obscene, hateful, or harassing.
Handles may not be sold, transferred, traded, leased, or offered for any consideration. Any attempt to do so is void and may result in reclamation of the handle and termination of the account.
Feeds may reclaim, suspend, reassign, or require the change of any handle at any time, including where the handle violates these Terms, is subject to a good-faith claim by a rights holder, has been inactive for an extended period, or where reclamation is necessary for the operation, security, or integrity of the Service. Where practicable and where the account holder has not acted in bad faith, Feeds will give notice and a reasonable opportunity to select a replacement handle.
Disputes over handles
If you believe a handle infringes your rights, you may submit a claim through our contact form, including the handle at issue, the basis of your claim, evidence of your rights, and a statement made in good faith. Feeds will review claims and may reclaim or reassign a handle, but is not obligated to transfer any handle to a claimant. Feeds’ determination is made at its discretion and is not a determination of legal rights between you and any third party.
Data, Analytics and Usage Information
Feeds may collect, use, process, and analyze information related to your use of the Service, including interaction data, usage data, preferences, activity, device information, and analytics data, in order to operate, maintain, improve, personalize, and develop the Service and its features.
Feeds may track interactions with content, links, notifications, reminders, and features within the Service. Feeds may also share certain aggregated or de-identified data, and in some cases limited user-level data as described in the Privacy Policy, with third-party partners for purposes such as analytics, attribution, rewards, integrations, and service improvement.
Feeds may use automated systems, analytics tools, and data analysis techniques to understand how users interact with the Service, improve personalization, enhance user experience, develop new features, and improve the performance and functionality of the Service.
Feeds may use aggregated, anonymized, or de-identified data for analytics, research, product development, statistical analysis, and business purposes, provided that such data does not identify you personally.
Nothing in these Terms limits how Feeds may use aggregated or anonymized data for lawful business purposes.
Your use of the Service is also subject to our Privacy Policy, which describes how we collect, use, store, and protect personal information.
Feeds may use such data to improve algorithms, recommendations, personalization systems, and business operations.
De-identified data
Where Feeds uses aggregated, anonymised, or de-identified data, Feeds will maintain that data in a form that cannot reasonably be used to infer information about, or otherwise be linked to, an identified or identifiable individual; will publicly commit to maintain and use such data in de-identified form and not to attempt to re-identify it, except as necessary to test the effectiveness of de-identification; and will contractually obligate any recipient of such data to comply with the same requirements.
Personalization and Feeds
The Service provides personalized feeds and content recommendations based on your selected interests, preferences, interactions, activity, and other information related to your use of the Service.
Feeds may use algorithms, automated systems, artificial intelligence, machine learning, and personalization tools to organize, prioritize, recommend, filter, and display content within the Service. The order, frequency, and visibility of content in your feed may be determined by automated systems and may change over time.
Feeds does not guarantee that any feed, recommendation, notification, reminder, or content displayed through the Service will be complete, accurate, relevant, or up to date. Content shown in the Service may be incomplete, outdated, or inaccurate, and Feeds is not responsible for any decisions made based on information displayed through the Service.
Users may select, modify, or update their interests and preferences at any time through the Service. Changes to interests and preferences may affect the content displayed in the Service.
Feeds may send notifications, reminders, alerts, or updates related to events, releases, content, or other information based on your selected interests and activity. Feeds does not guarantee that notifications or reminders will be delivered at a specific time or at all.
Feeds may modify, update, or change how feeds, recommendations, personalization, notifications, or content are displayed at any time without notice.
User Content
You may create, configure, or contribute User Content through the Service, including feeds, playlists, preferences, selections, and other interactions.
As between you and Feeds, you retain ownership of your User Content.
By submitting or creating User Content, you grant Feeds a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to use, host, store, reproduce, modify, adapt, format, display, distribute, and promote such User Content in connection with operating, improving, and promoting the Service.
This license includes the right to:
- display and share User Content within the Service;
- format, adapt, or modify User Content for technical or presentation purposes;
- use User Content in connection with personalization, recommendations, and features of the Service.
Feeds is not obligated to host, display, or maintain any User Content and may remove or modify User Content at any time for any reason.
You represent and warrant that you have all rights necessary to grant the license described in this Section and that your User Content does not violate any law or third-party rights.
Third-Party Content
The Service may display, aggregate, organize, or provide access to content, information, media, images, logos, text, event information, release dates, links, and other materials owned or controlled by third parties (“Third-Party Content”).
Feeds does not own, control, endorse, sponsor, or assume responsibility for any Third-Party Content displayed through the Service. All Third-Party Content remains the property of its respective owners and may be protected by copyright, trademark, and other applicable laws.
Third-Party Content is made available through the Service for informational, discovery, organizational, and convenience purposes only. Feeds makes no representations or warranties regarding the accuracy, completeness, legality, availability, or reliability of any Third-Party Content.
The inclusion, display, or availability of any Third-Party Content through the Service does not imply any affiliation, partnership, endorsement, or sponsorship between Feeds and any third party unless expressly stated.
Third-Party Content may be removed, modified, or become unavailable at any time without notice. Feeds is not responsible for any Third-Party Content or for any loss or damage resulting from your use of or reliance on such content.
If you are the owner of any content displayed through the Service and believe that your content is being displayed improperly, you may submit a request for review or removal through our contact form.
Third-Party Content may include metadata, images, descriptions, and other informational materials sourced from third-party providers. Feeds does not guarantee the accuracy, completeness, or reliability of such materials.
Third-Party Links and Integrations
The Service may contain links to third-party websites, platforms, applications, or services, and may allow integrations with third-party services, including social media platforms, content platforms, streaming services, gaming platforms, event platforms, and other external services (“Third-Party Services”).
Feeds does not control, operate, or maintain any Third-Party Services and is not responsible for the availability, content, accuracy, products, services, privacy practices, or policies of any Third-Party Services.
Your interactions with any Third-Party Services are solely between you and the applicable third party. Feeds is not responsible for any loss, damage, or issues arising from your use of or interaction with any Third-Party Services.
If you choose to connect your Feeds account to any Third-Party Services, you authorize Feeds to access and retrieve certain information from those services in accordance with the permissions you grant and the applicable third-party terms and policies.
Feeds may add, remove, modify, or discontinue integrations with any Third-Party Services at any time without notice.
Third-Party Notices, Attributions and Trademarks
Open licences and attributions
Certain content displayed through the Service, including photographs, images, and reference data, is made available under open licences (including Creative Commons licences) or is in the public domain. Attribution information for such content, including where supplied the name of the creator, the title of the work, a link to the source, and the applicable licence name and version, is maintained at www.feeds.ai/legal/credits and is incorporated into these Terms by reference. Where practicable, the Service also provides access to that information from the point at which the content is displayed. Feeds does not claim ownership of openly licensed or public domain content. Nothing in the Service is intended to suggest that any creator or licensor endorses Feeds or the Service.
If you are the creator or rights holder of any openly licensed content displayed through the Service and believe the attribution is missing, inaccurate, or not in the form you require, please contact us through our contact form and we will correct or remove it promptly.
Trademarks
Team names, club names, league names, competition names, venue names, broadcaster names, logos, uniforms, and other marks displayed through the Service are the trademarks, service marks, or trade dress of their respective owners. Feeds uses such marks solely to identify the teams, leagues, venues, events, broadcasts, and content to which information in the Service relates. Such use is nominative and does not imply, and should not be construed as, any affiliation with, endorsement by, sponsorship by, or licence from any team, club, league, venue, broadcaster, ticketing provider, or other rights holder, unless expressly stated in the Service.
Requests from rights holders
Rights holders who wish to request the removal or modification of any mark, image, or other material displayed through the Service may contact us through our contact form.
Acceptable Use / Prohibited Activities
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree that you will not, and will not attempt to, directly or indirectly:
- Use the Service for any unlawful, fraudulent, or unauthorized purpose;
- Access or use the Service in any manner that could damage, disable, overburden, or impair the Service;
- Attempt to gain unauthorized access to any part of the Service, other user accounts, or any systems or networks connected to the Service;
- Use any robot, scraper, crawler, spider, data mining tool, automated script, or other automated means to access, collect, copy, or monitor any portion of the Service;
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, structure, or underlying technology of the Service;
- Circumvent, disable, or interfere with any security-related features of the Service;
- Upload, transmit, or distribute any viruses, malware, or other harmful code;
- Impersonate any person or entity or misrepresent your affiliation with any person or entity;
- Use the Service to harass, abuse, threaten, defame, or harm any other person;
- Use the Service to collect or harvest information about other users without their consent;
- Interfere with the operation, functionality, or integrity of the Service in any way;
- Use the Service in any manner that could create liability or legal exposure for Feeds.
Feeds reserves the right to investigate violations of this Section and may suspend or terminate your account or access to the Service at any time for violations of these Terms.
Intellectual Property
The Service, including but not limited to the Feeds platform, software, algorithms, databases, design, layout, user interface, features, functionality, trademarks, logos, and all related intellectual property rights, are owned by Feeds or its licensors and are protected by intellectual property laws and other applicable laws.
Except as expressly permitted by these Terms, you may not copy, reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, transmit, or otherwise exploit any part of the Service without prior written permission from Feeds.
Feeds grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for personal, non-commercial use in accordance with these Terms.
You may not use any trademarks, logos, service marks, trade names, or branding of Feeds without prior written permission.
Nothing in these Terms grants you any ownership rights in the Service or any intellectual property rights owned by Feeds or its licensors.
Ads, Sponsored Content and Promotions
The Service may display advertisements, sponsored content, promoted content, featured listings, affiliate links, or other promotional materials from third parties.
Such content may be displayed within feeds, prioritized, or presented based on your interests, preferences, activity, and interactions within the Service.
Feeds may receive compensation, commissions, or other consideration from third parties in connection with advertisements, sponsored content, promoted listings, affiliate links, partnerships, or other promotional activities displayed through the Service.
The display of any sponsored content, promoted content, advertisements, or affiliate links does not constitute an endorsement, guarantee, or recommendation by Feeds unless expressly stated.
Your interactions with any advertisers, sponsors, partners, or third parties found through the Service are solely between you and that third party. Feeds is not responsible for any loss, damage, or issues arising from such interactions.
Feeds does not guarantee the availability, pricing, availability of tickets, release dates, or availability of any products or services advertised or promoted through the Service.
Feeds makes no representations regarding the relevance, performance, or outcomes of any advertisements or sponsored content.
Tickets, Events and Commerce
Feeds does not sell, resell, broker, issue, fulfil, or guarantee tickets, and is not a ticket marketplace, ticket broker, or reseller. Where the Service displays a link to purchase tickets, that link directs you to a third-party seller. All ticket pricing, fees, taxes, availability, seat allocation, purchase terms, delivery, entry rights, refunds, cancellations, and disputes are governed solely by that seller and by the applicable venue, team, or event organiser.
The Service does not display ticket pricing. The presence of a ticket link does not represent that tickets are available, that any particular price applies, or that any particular seller is authorised for that event.
Event dates, times, venues, broadcast listings, streaming availability, radio availability, and channel information displayed through the Service are sourced from third parties, are subject to change without notice, may vary by region, and may be inaccurate or incomplete. You should confirm all such information with the official source before making any purchase, travel, or other decision. Feeds is not responsible for any loss arising from reliance on such information, including missed events, cancelled events, blackout restrictions, or regional unavailability.
Beta Features
The Service, or certain features of the Service, may be offered in beta, testing, experimental, or early access versions (“Beta Features”). Beta Features may contain errors, bugs, defects, or other issues and may be incomplete or subject to change.
Feeds may modify, suspend, discontinue, or remove any Beta Features at any time, with or without notice. Feeds makes no guarantees that any Beta Features will be released as part of the final version of the Service or will continue to be available.
Beta Features are provided for testing and evaluation purposes only and are provided “as is” and “as available” without any warranties of any kind.
You acknowledge that Beta Features may not operate correctly, may result in errors or data loss, and should not be relied upon for important, critical, or time-sensitive information.
Service Availability and Modifications
Feeds may modify, update, suspend, discontinue, or change the Service, or any part of the Service, at any time, including features, functionality, content, personalization systems, integrations, or availability, with or without notice.
Feeds does not guarantee that the Service will be available at all times or that access will be uninterrupted, timely, secure, or error-free. The Service may be unavailable from time to time due to maintenance, updates, technical issues, third-party service interruptions, or other reasons.
Feeds may also impose limits on certain features, restrict access to parts of the Service, or change how the Service operates at any time without notice.
Feeds will not be liable for any modification, suspension, interruption, or discontinuation of the Service or any part thereof.
Notifications and Reminders
Feeds may send notifications, reminders, alerts, or updates related to events, releases, content, or other information based on your selected interests and activity.
Feeds does not guarantee that notifications or reminders will be delivered at a specific time or at all.
Feeds may modify, update, or change how notifications or reminders are delivered at any time without notice.
Feeds is not responsible for missed events, missed releases, or any decisions or actions taken in reliance on notifications, reminders, or content displayed through the Service.
DMCA and Intellectual Property Complaints
Feeds is an aggregation service. Most content displayed through the Service, including images, media, text, metadata, event information, and other materials, is owned and hosted by third parties, and the Service displays listings, links, or formatted previews of such content. Removing a listing from the Service removes only its display within the Service; it does not remove, alter, or otherwise affect the underlying content, which remains hosted and controlled by the applicable third party.
If you believe that content hosted by a third party infringes your intellectual property rights, you should direct your DMCA notice or removal request to the third party that hosts the content, in accordance with that party’s policies. Feeds cannot remove content from third-party websites, platforms, or services. To fully address alleged infringement of content that Feeds aggregates, you may need to submit notices both to Feeds (regarding its display within the Service) and to the third party hosting the content.
If you believe that a listing, cached material, User Content, or other content displayed within the Service infringes your intellectual property rights, you may submit a notice to Feeds through our contact form. Feeds’ designated agent is registered with the U.S. Copyright Office under Registration No. DMCA-1077149. Your notice must include:
- identification of the copyrighted work or rights claimed to be infringed;
- identification of the material claimed to be infringing, with information reasonably sufficient to locate it within the Service;
- your contact information;
- a statement of good faith belief that the use is not authorized by the rights owner, its agent, or the law;
- a statement under penalty of perjury that the information is accurate and that you are authorized to act on behalf of the rights owner;
- your physical or electronic signature.
Upon receipt of a valid notice, Feeds may remove or disable access to the allegedly infringing material as displayed within the Service and may notify the user or content source responsible. Removal of a listing or display from the Service does not constitute, and should not be relied upon as, removal of the underlying content from any third-party source.
If you believe content was removed in error, you may submit a counter-notification.
Feeds may terminate accounts of repeat infringers.
Termination
Feeds may suspend, restrict, or terminate your access to the Service, your account, or any part of the Service at any time, with or without notice, for any reason, including, without limitation, if:
- you violate these Terms;
- we believe your account is being used in an unauthorized, fraudulent, or abusive manner;
- your use of the Service creates risk or potential legal exposure for Feeds;
- we are required to do so by law or regulatory authority;
- it is necessary to protect the security, integrity, or operation of the Service.
You may stop using the Service or delete your account at any time. Upon termination of your account or access to the Service:
- your right to use the Service will immediately terminate;
- we may delete or remove your account information, preferences, or data associated with your account;
- certain information may be retained as required by law or for legitimate business purposes;
- any provisions of these Terms that by their nature should survive termination will survive termination, including intellectual property, disclaimers, limitation of liability, and indemnification provisions.
Feeds reserves the right to discontinue the Service entirely or any part of the Service at any time.
Disclaimers
The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including, without limitation, warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, or reliability. Feeds does not warrant that:
- the Service will be uninterrupted, secure, or error-free;
- any information or content displayed through the Service will be accurate, complete, reliable, or up to date;
- any feeds, recommendations, notifications, reminders, or content will meet your expectations;
- the Service will always be available or free from bugs, errors, or technical issues;
- any defects or errors will be corrected.
The Service may display Third-Party Content and links to Third-Party Services. Feeds does not control and is not responsible for any Third-Party Content or Third-Party Services.
Your use of the Service is at your own risk.
The Service is provided for informational, discovery, and organizational purposes only and should not be relied upon as your sole source of information regarding events, releases, schedules, or other content.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FEEDS, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO:
- your access to or use of, or inability to access or use, the Service;
- any Third-Party Content or Third-Party Services;
- any errors, inaccuracies, or omissions in any content or information;
- any interruptions, delays, or failures of the Service;
- any unauthorized access to or use of your account or data;
- any bugs, errors, or technical issues;
- any reliance on information, recommendations, feeds, notifications, or reminders provided through the Service;
- any missed notifications, reminders, or events;
- any advertisements, sponsored content, or promotional materials.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FEEDS’ TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (I) ONE HUNDRED U.S. DOLLARS (USD $100), OR (II) THE AMOUNT YOU PAID, IF ANY, TO USE THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
The foregoing limitations apply even if any limited remedy is found to have failed of its essential purpose. Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, gross negligence, wilful misconduct, or any other liability that cannot be excluded or limited under applicable law.
Indemnification
You agree to defend, indemnify, and hold harmless Feeds, its affiliates, directors, officers, employees, licensors, and service providers from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- your use of the Service;
- your violation of these Terms;
- your violation of any law or regulation;
- your infringement of any intellectual property or other rights of any third party;
- your misuse of the Service;
- any content, data, or information submitted or transmitted through your account.
Feeds reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with Feeds in the defense of such claims.
Governing Law
These Terms and any dispute arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
Forum for Non-Arbitrable Claims and Time Limit on Claims
For any dispute not subject to arbitration, and for any action to compel or enforce arbitration, you and Feeds consent to the exclusive jurisdiction of the state and federal courts located in Delaware, and each party waives any objection to venue or forum non conveniens. To the extent a jury trial is available for any such dispute, you and Feeds each knowingly and voluntarily waive any right to a trial by jury.
To the maximum extent permitted by applicable law, any claim arising out of or relating to these Terms or the Service must be filed within one (1) year after the claim arose, or it is permanently barred.
Dispute Resolution and Arbitration
Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court and to have a jury trial. It contains a class action waiver and an opt-out right.
Informal resolution first
Before starting an arbitration or other proceeding, you and Feeds agree to try to resolve the dispute informally for at least sixty (60) days. You must send a written Notice of Dispute to support@feeds.ai and to Feeds Inc., 16192 Coastal Highway, Lewes, Delaware 19958, describing the dispute, the relief sought, and your account handle and contact details. Feeds will send any Notice of Dispute to the email address associated with your account. The sixty-day period is a condition precedent to commencing arbitration, and the applicable limitations period is tolled while it runs.
Agreement to arbitrate
If the dispute is not resolved within sixty days, any dispute, claim, or controversy arising out of or relating to these Terms or the Service, including its breach, termination, enforcement, interpretation, validity, or formation, shall be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect, as modified by these Terms. The AAA Rules are available at adr.org. If the AAA is unavailable or declines to administer the arbitration consistent with these Terms, the parties will agree on an alternative administrator, and failing agreement, a court of competent jurisdiction shall appoint one.
Delegation
The arbitrator, and not any court, has exclusive authority to resolve any dispute about the interpretation, applicability, enforceability, or formation of this arbitration agreement, including whether any claim is arbitrable, except as expressly stated otherwise in the Class Action Waiver below.
Procedure
The arbitration shall be conducted in the English language by a single arbitrator. If your claim is for US $25,000 or less, you may elect for the arbitration to be conducted by documents only, by telephone or video conference, or at a mutually agreed location. Otherwise the seat shall be Delaware. Nothing requires you to appear in person unless the arbitrator determines an in-person hearing is necessary. The arbitrator may award any relief available in an individual action in court under applicable law, and the arbitrator’s award is final and binding, subject to limited judicial review.
Fees
Payment of filing, administration, and arbitrator fees is governed by the AAA Consumer Arbitration Rules. Where those Rules require Feeds to bear fees, Feeds will do so.
Class action waiver
You and Feeds agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated, private attorney general, or representative proceeding.
The arbitrator may not consolidate the claims of more than one person and may not preside over any form of representative proceeding. The enforceability of this Class Action Waiver shall be determined by a court and not by the arbitrator.
Coordinated filings
If twenty-five (25) or more claimants submit Notices of Dispute or arbitration demands raising substantially similar claims and represented by the same or coordinated counsel, the claims shall be administered in sequential batches of no more than fifty (50), with a single arbitrator per batch, and the limitations period for all claims in the queue shall be tolled until that claimant’s batch is reached. The parties shall cooperate in good faith with the administrator to implement this process.
Exceptions
Notwithstanding the foregoing, either party may (i) bring an individual action in small claims court, and (ii) seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property or proprietary rights. Seeking such relief is not a waiver of the right to arbitrate other claims.
Your right to opt out
You may opt out of this Dispute Resolution and Arbitration section by sending written notice to support@feeds.ai with the subject line “Arbitration Opt-Out,” including your name, account handle, and a clear statement that you wish to opt out, within thirty (30) days of first accepting these Terms or within thirty (30) days of the effective date of any material change to this section. Opting out will not affect any other part of these Terms and will not affect your use of the Service.
Severability
If any portion of this section other than the Class Action Waiver is found unenforceable, that portion shall be severed and the remainder enforced. If the Class Action Waiver is found unenforceable as to any claim or any request for relief, then this entire Dispute Resolution and Arbitration section shall be null and void as to that claim or request for relief, which shall proceed in court, and the parties expressly do not consent to class arbitration.
Survival
This section survives termination of these Terms and your use of the Service.
Force Majeure
Feeds will not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, epidemic or pandemic, war, terrorism, civil unrest, labour disputes, governmental action, changes in law, power or telecommunications failure, internet or network outage, cyberattack, or the failure, suspension, modification, or discontinuation of any third-party service, data source, application programming interface, or content licence on which the Service depends.
Export Controls and Sanctions
You represent that you are not located in, and are not a national or resident of, any country subject to comprehensive US sanctions, and that you are not identified on any US government restricted-party list. You agree not to use or export the Service in violation of applicable US export control or sanctions laws.
Entire Agreement; Severability; Assignment; No Waiver
These Terms, together with the Privacy Policy and any notices incorporated by reference, constitute the entire agreement between you and Feeds regarding the Service and supersede all prior agreements. Except as provided in the Dispute Resolution and Arbitration section, if any provision is held unenforceable, that provision shall be modified to the minimum extent necessary or severed, and the remainder shall remain in effect. Feeds may assign these Terms in whole or in part, including in connection with a merger, acquisition, reorganisation, or sale of assets; you may not assign these Terms without Feeds’ prior written consent. No failure or delay by Feeds in exercising any right constitutes a waiver of that right.
Changes to Terms
Feeds may modify or update these Terms from time to time. The most current version will always be posted within the Service or on our website.
If we make material changes to these Terms, we may notify you through the Service, by email, or by other means. By continuing to use the Service after the updated Terms become effective, you agree to be bound by the revised Terms.
